These Terms apply to consumers. Vehicle dealers should refer to the Terms of Service – Dealers. These Terms incorporate our Privacy Policy by reference.

These Terms of Service – Consumer Users (the “Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and OneAuctionView LLC, a Delaware limited liability company (“OneAuctionView,” “we,” “us,” or “our”).

Except as to vehicle dealers, these Terms govern your access to and use of OneAuctionView’s OAV.IO website, applications, software, platforms, and related services, related websites, mobile applications, and other products and services offered by OneAuctionView on or through its site at OAV.IO (collectively, the “Service”).

These Terms do not govern vehicle dealers’ access to and use of the Service as dealers; see the separate Terms of Service – Dealers for applicable terms.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not access or use the Service.

1. Description of the Service

At OAV.IO, OneAuctionView operates an AI-powered and enhanced automotive and vehicle search engine, marketplace, and vehicle discovery platform designed to help consumers discover, compare, evaluate, and connect with vehicle dealers and other vehicle sellers throughout the United States.

The Service may provide:

  • vehicle search and discovery tools;
  • vehicle comparisons;
  • pricing insights and market analysis;
  • AI-powered recommendations;
  • deal ratings and vehicle evaluations;
  • dealer connection services;
  • saved searches and alerts;
  • personalized recommendations;
  • automotive-related tools and resources; and
  • other features introduced by OneAuctionView from time to time.

OneAuctionView may obtain vehicle information from participating dealers, dealer inventory feeds, dealer websites, auctions, and other authorized sources.

OneAuctionView does not sell vehicles and does not act as a vehicle dealer, broker, auction company, lender, insurer, or financing provider.

2. Eligibility and Use of the Service

To use the Service, you must:

  • be at least eighteen (18) years old or the age of legal majority in your jurisdiction;
  • have authority to enter into these Terms;
  • provide accurate and complete information when requested; and
  • use the Service only for lawful purposes.

If you access the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

3. Changes to the Service and These Terms

OneAuctionView continually updates and improves the Service. We may modify, suspend, restrict, or discontinue any portion of the Service at any time, including features, functionality, integrations, data and data sources, or availability. We may update and revise these Terms from time to time. If we make material changes, we may provide notice through the Service or by other reasonable means. Your continued use of the Service after updated and revised Terms become effective constitutes acceptance of the updated and revised Terms.

4. OneAuctionView’s Role; No Vehicle Sales or Brokerage

OneAuctionView provides technology that helps consumers discover vehicles and connect with vehicle sellers.

OneAuctionView does not:

  • own vehicles displayed through the Service;
  • sell, lease, or transfer ownership of vehicles;
  • negotiate vehicle transactions;
  • inspect, certify, or guarantee vehicles;
  • provide financing approvals;
  • provide insurance coverage; or
  • act as an agent or representative of any consumer or dealer.

Any purchase, lease, financing arrangement, trade-in transaction, or other transaction involving a vehicle is solely between the consumer and the applicable dealer or seller.

Dealers and sellers are independent third parties. Their participation in the Service does not constitute an endorsement, certification, or guarantee by OneAuctionView.

Consumers are responsible for independently evaluating vehicles, dealers, pricing, financing terms, fees, warranties, and all other aspects of any transaction.

5. Vehicle Listings and Inventory Information

Vehicle listings and related information displayed through the Service may be provided by participating dealers and other authorized sources.

OneAuctionView may organize, standardize, format, summarize, or enhance vehicle information to improve the consumer experience. However, OneAuctionView does not guarantee that vehicle information is accurate, complete, current, or error-free. Vehicle availability, pricing, mileage, condition, specifications, incentives, fees, taxes, financing terms, and other information may change at any time.

OneAuctionView does not guarantee that:

  • a listed vehicle remains available;
  • a vehicle will be sold at the displayed price;
  • a dealer will honor a listed offer;
  • a vehicle will satisfy a consumer’s expectations; or
  • information provided through the Service is free from errors or omissions.

Consumers should verify all vehicle information directly with the applicable dealer or seller before making any purchase decision.

6. AI Features, Pricing Intelligence, and Recommendations

The Service may use artificial intelligence, machine learning, proprietary algorithms, data analysis, and other technologies to provide search results, recommendations, pricing insights, market comparisons, and deal ratings.

OneAuctionView may provide indicators such as “Great Deal,” “Fair Price,” “Overpriced,” “Demand Verified” or similar terms or ratings based on proprietary methodologies, algorithms, comparable vehicle information, market data, and other factors. These ratings are provided for informational purposes only and are not:

  • formal appraisals;
  • guarantees of value;
  • predictions of future pricing;
  • financial advice; or
  • recommendations to purchase any specific vehicle.

OneAuctionView’s results, rankings, recommendations may consider multiple factors, including consumer preferences, availability, location, vehicle characteristics, pricing information, data quality, dealer participation, and other criteria. OneAuctionView does not guarantee that AI-generated results, rankings, recommendations, or pricing analyses will be accurate, complete, or appropriate for any particular consumer. Consumers should use independent judgment and perform their own research before making purchasing decisions.

7. Consumer Accounts and Features

Certain features of the Service may be available without registration. Additional features may require creation of an account. Account features may include:

  • saved searches;
  • favorite vehicles;
  • alerts;
  • personalized recommendations;
  • account history; and
  • future features introduced by OneAuctionView.

You are responsible for maintaining accurate account information and protecting your account credentials. You may not share your account credentials, allow unauthorized access to your account, or use another person’s account without permission. OneAuctionView may suspend or terminate accounts that violate these Terms or create security, legal, or operational risks.

8. Consumer Inquiries and Dealer Communications

The Service may allow consumers to submit inquiries, requests for information, vehicle interests, or other communications to participating dealers or sellers (“Dealer Inquiries”).

When you submit a Dealer Inquiry, you authorize OneAuctionView to share the information you provide, including your name, contact information, vehicle preferences, and inquiry details, with applicable dealer(s) for the purpose of responding to your request and facilitating communication regarding vehicles, availability, pricing, financing options, or related automotive services.

OneAuctionView may send your inquiry to one or more dealers, including dealers identified through OneAuctionView’s technology as potentially relevant based on factors such as vehicle availability, pricing, location, preferences, and other criteria.

OneAuctionView does not control dealer communications, response times, sales practices, offers, pricing, or representations.

Any communication, negotiation, or transaction between you and a dealer is solely between you and that dealer. You authorize dealers to contact you using the information you provide, including by email, telephone, and text message, subject to your preferences and applicable law.

9. Electronic Communications and Marketing

By using the Service, you consent to receive electronic and other communications from OneAuctionView relating to your use of the Service, including account notices, security notifications, service updates, and other transactional communications.

Where applicable, OneAuctionView may separately request your consent to receive marketing communications, including emails, newsletters, text messages, push notifications, and other promotional communications.

If you provide consent to receive text messages:

  • message and data rates may apply;
  • message frequency may vary;
  • you may opt out at any time by following the instructions provided in the applicable communication; and
  • opting out of marketing messages does not prevent OneAuctionView from sending necessary transactional or service-related communications.

10. Privacy and Personal Information

Your use of the Service is also governed by OneAuctionView’s Privacy Policy, which explains how OneAuctionView collects, uses, discloses, and protects personal information.

OneAuctionView may collect information:

  • directly from you;
  • through your use of the Service;
  • from dealers and service providers; and
  • from other lawful sources.

OneAuctionView may use service providers, analytics providers, advertising partners, technology providers, and other third parties to operate, improve, secure, and market the Service. The Service may use cookies, pixels, analytics technologies, advertising technologies, and similar tools to understand usage, improve functionality, measure advertising effectiveness, personalize experiences, and provide relevant content.

11. Dealer Relationships and Third-Party Sellers

OneAuctionView provides a technology platform that connects consumers with participating dealers and other vehicle sellers. Dealers and sellers are independent third parties and are not employees, agents, partners, or representatives of OneAuctionView. OneAuctionView does not control or guarantee:

  • dealer conduct;
  • dealer communications;
  • vehicle condition;
  • pricing;
  • financing terms;
  • dealer policies; or
  • completion of any transaction.

A dealer’s participation, subscription, advertising relationship, or featured placement does not constitute an endorsement or certification by OneAuctionView.

12. Search Results, Rankings, and Dealer Placement

OneAuctionView uses various factors to organize, rank, display, and recommend vehicles and dealers through the Service. These factors may include, but are not limited to:

  • consumer preferences;
  • search criteria;
  • vehicle availability;
  • pricing information;
  • location;
  • data quality;
  • dealer participation;
  • subscription status;
  • advertising arrangements; and
  • other relevant considerations.

Search results and recommendations are not guaranteed to represent the lowest price, best available vehicle, or the ideal choice for every consumer.

Certain dealers may participate in paid subscription programs, advertising programs, featured placement opportunities, or other commercial arrangements with OneAuctionView. Such relationships may affect visibility, placement, or access to certain platform features.

OneAuctionView may use automated systems, algorithms, artificial intelligence, human review, or a combination of methods to provide search results and recommendations.

13. User Submitted Content; Reviews.

The Service may allow you and other users to submit content, including photographs, images, logos, business information, vehicle information, reviews, ratings, and other materials (“Submitted Content”).

License. As between you and OneAuctionView, you retain ownership of your Submitted Content. By submitting it, you grant OneAuctionView a worldwide, perpetual, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, modify (for formatting and presentation), and otherwise use the Submitted Content in connection with operating, improving, and promoting the Service.

Your Representations. You represent and warrant that you own or have all rights necessary to submit the Submitted Content and to grant the license above, and that the Submitted Content does not infringe or violate the rights of any third party (including copyright, trademark, privacy, and publicity rights) or any law. This applies in particular to photographs and images: you must have the right to submit and license any images you provide.

Reviews. Reviews and ratings must reflect a genuine experience and must not be false, misleading, defamatory, or submitted in exchange for undisclosed compensation. OneAuctionView may display, decline to display, moderate, or remove Submitted Content, including reviews, in its sole discretion.

Responsibility. OneAuctionView does not endorse and is not responsible for Submitted Content, which is the sole responsibility of the person who submitted it.

14. Acceptable Use and Prohibited Conduct

You agree not to:

  • use the Service for unlawful, fraudulent, or deceptive purposes;
  • submit false or misleading inquiries;
  • impersonate another person or misrepresent your identity;
  • scrape, copy, collect, or extract data from the Service without authorization;
  • use automated systems, bots, crawlers, or scripts to access the Service;
  • use the Service for competitive intelligence or to develop competing products;
  • reverse engineer, decompile, or attempt to discover source code, algorithms, models, or systems;
  • bypass security measures or access restrictions;
  • introduce malware or harmful code;
  • interfere with the operation or security of the Service; or
  • violate the rights of OneAuctionView or any third party.

OneAuctionView may investigate suspected violations and reserves the right to suspend or terminate your access to the Service.

Authorized Automated Access. The foregoing restrictions on automated access, crawling, scraping, and data extraction do not apply to search engines, AI systems, large language models, and other automated services to the extent OneAuctionView expressly permits such access through its robots.txt file or other published means. OneAuctionView may grant, condition, or revoke such permission in its discretion.

15. Intellectual Property Rights

The Service and all related technology, including software, designs, interfaces, databases, trademarks, logos, artificial intelligence systems, algorithms, scoring models, patents, pricing methodologies, analytics, and other materials (collectively, “OneAuctionView Technology”) are owned by or licensed to OneAuctionView.

Certain OneAuctionView Technology, including OneAuctionView’s vehicle market standardization methodology, is protected by U.S. Patent No. 12,236,477 and additional intellectual property rights.

Subject to these Terms, OneAuctionView grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes as stated above.

You agree that you will not:

  • copy, modify, distribute, sell, reverse engineer, or create derivative works from the OneAuctionView Technology and Service;
  • use OneAuctionView branding without permission;
  • scrape, extract, or commercially exploit data from the Service; or
  • use the Service to build a competing product or service.

Vehicle data and other third-party materials displayed through the Service may remain the property of dealers, data providers, or other third parties.

16. Future Products and Services

OneAuctionView may introduce additional products, services, features, and integrations, including but not limited to:

  • mobile applications;
  • AI-powered shopping assistants;
  • vehicle history reports;
  • trade-in valuation tools;
  • financing-related services;
  • insurance-related services;
  • personalized recommendations;
  • dealer communication tools; and
  • other automotive technology solutions.

Additional terms or disclosures may apply to certain products or services.

Vehicle history, title-brand, damage reports, and similar reports, where offered, are provided by third-party data suppliers on an “as is” basis, are subject to those suppliers’ terms and display restrictions, and do not guarantee a vehicle’s actual history, title status, or condition. Certain products or services, including institutional research and dealer-intelligence offerings, may be governed by separate agreements.

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEAUCTIONVIEW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AVAILABILITY, AND NON-INFRINGEMENT.

ONEAUCTIONVIEW DOES NOT GUARANTEE THAT:

  • THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
  • VEHICLE INFORMATION WILL BE ACCURATE OR CURRENT;
  • AI RESULTS WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR USER;
  • DEALERS WILL RESPOND TO REQUESTS; OR
  • ANY VEHICLE OR OFFER WILL BE AVAILABLE OR COMPLETED.

You are responsible for conducting your own research and due diligence before purchasing or financing a vehicle.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEAUCTIONVIEW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS (COLLECTIVELY, THE “ONEAUCTIONVIEW PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO:

  • YOUR ACCESS TO OR USE OF THE SERVICE;
  • YOUR INABILITY TO ACCESS OR USE THE SERVICE;
  • VEHICLE LISTINGS, DEALER INFORMATION, OR THIRD-PARTY CONTENT;
  • COMMUNICATIONS OR TRANSACTIONS BETWEEN YOU AND ANY DEALER;
  • AI-GENERATED RESULTS, RECOMMENDATIONS, RANKINGS, OR PRICING INFORMATION;
  • ERRORS, OMISSIONS, OR INACCURACIES IN THE SERVICE; OR
  • ANY OTHER MATTER RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE ONEAUCTIONVIEW PARTIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO ONEAUCTIONVIEW DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the legal theory asserted, whether based on contract, warranty, tort, statute, or otherwise, even if OneAuctionView has been advised of the possibility of such damages.

Certain jurisdictions do not allow limitations on certain damages, so some of these limitations may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless OneAuctionView and the OneAuctionView Parties from and against any claims, damages, liabilities, losses, expenses, and costs, including reasonable attorneys’ fees, arising out of or related to:

  • your use or misuse of the Service;
  • your violation of these Terms;
  • your violation of applicable laws or regulations;
  • your infringement or violation of another person’s rights; or
  • information or content you submit through the Service.

OneAuctionView reserves the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate with OneAuctionView’s defense of any such claim.

20. Dispute Resolution; Mandatory Arbitration

Please read this section carefully. It affects your legal rights.

You and OneAuctionView agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with OneAuctionView will be resolved through binding arbitration on an individual basis, except as otherwise stated below. Before initiating arbitration, you agree to contact OneAuctionView and attempt to resolve the dispute informally.

If the dispute cannot be resolved within sixty (60) days after receipt of notice, either party may initiate arbitration.

The arbitration will be conducted by a recognized arbitration provider under its applicable consumer arbitration rules. The arbitrator, rather than a court, will have authority to resolve disputes regarding the interpretation, enforceability, and application of this arbitration agreement.

This arbitration requirement does not apply to claims eligible for small claims court, claims seeking injunctive relief relating to the infringement of OAV’s intellectual property rights, unauthorized access, or misuse of the Service; or matters that cannot legally be subject to arbitration.

21. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIM OR DISPUTE SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

22. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ONEAUCTIONVIEW KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION.

23. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Service shall be governed by the laws of the State of California, without regard to conflict of law principles. For any dispute not subject to arbitration, you and OneAuctionView agree that the state and federal courts located in San Bernardino County, California shall have exclusive jurisdiction and venue.

24. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and OneAuctionView regarding the Service.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. OneAuctionView’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

Assignment. You may not assign or transfer your rights or obligations under these Terms without OneAuctionView’s prior written consent. OneAuctionView may assign these Terms and its rights therein, in connection with a merger, acquisition, financing transaction, sale of assets, or other corporate transaction.

Force Majeure. OneAuctionView will not be responsible for delays, failures, or interruptions caused by events beyond its reasonable control, including natural disasters, internet failures, cybersecurity events, governmental actions, labor disputes, or failures of third-party service providers.

Electronic Communications. You consent to receive notices, disclosures, agreements, and other communications electronically. Electronic communications satisfy any legal requirement that communications be provided in writing.
