Terms of Service – For Vehicle Dealers

Effective Date: September 18, 2026

These Terms apply to vehicle dealers and other commercial sellers. Consumers should refer to the Terms of Service – Consumer Users. These Terms incorporate our Privacy Policy by reference. Copyright complaints are handled under our DMCA Policy.

These Terms of Service – For Vehicle Dealers (the “Terms”) are a legally binding agreement between you (“you,” “your,” “Dealer,” or “User”) and OneAuctionView LLC, a Delaware limited liability company (“OneAuctionView,” “OAV,” “we,” “us,” or “our”).

These Terms govern your access to and use of OneAuctionView’s OAV.IO website, applications, software, platforms, dealer portals, APIs, integrations, inventory tools, analytics products, lead-routing services, dealer listings, and related services, websites, mobile applications, products, and services offered by OneAuctionView on or through OAV.IO (collectively, the “Service”).

These Terms apply specifically to your use of the Service as a vehicle dealer, including an automotive retailer, dealership, dealership group, automotive business, vehicle seller, or other commercial vehicle seller. Consumer use of the Service is governed by separate consumer-facing terms.

Certain terms and conditions of these Terms apply if you opt in to and register for a paid Dealer Account, as stated below. To view fees and additional terms for a Dealer Account, click Dealer Accounts. In addition, certain products and features may be subject to additional terms, order forms, subscription terms, data-processing terms, advertising terms, lead programs, or other written agreements. If there is a conflict between these Terms and a separate written agreement expressly governing a particular product or service, the separate written agreement controls solely with respect to that product or service.

By accessing or using the Service, creating a Dealer account, claiming or managing a dealer listing, submitting or authorizing vehicle inventory data, subscribing to a paid product or service, receiving or responding to customer inquiries through OAV.IO, or otherwise using the Service as a Dealer, you acknowledge that you have read, understood, and agree to be bound by these Terms and OneAuctionView’s Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not access or use the Service as a Dealer.

OneAuctionView is a technology and information platform. Unless expressly stated otherwise in a separate written agreement, OneAuctionView is not: a vehicle dealer, a vehicle broker, an auction company, a lender, a financing provider, an insurer, an insurance broker, a vehicle manufacturer, a title or registration company, an agent of the Dealer, or agent of any consumer.

2. DEALER ELIGIBILITY AND AUTHORITY

To use the Service as a Dealer, you represent, warrant, and covenant that:

OneAuctionView may require additional information or documentation to verify the identity, ownership, authorization, licensing, or status of a Dealer. Failure to provide reasonably requested verification information may result in suspension or restriction of the affected account or functionality.

3. DEALER ACCOUNTS AND AUTHORIZED USERS

Certain Service features require a paid Dealer Account.

Dealer is responsible for:

  • maintaining accurate account information;
  • maintaining the confidentiality of account credentials;
  • controlling access to Dealer’s account;
  • ensuring that only authorized personnel access Dealer tools;
  • promptly removing access for former employees, contractors, or other unauthorized persons; and
  • all activities occurring through Dealer’s account.

Dealer may create separate accounts or user profiles for authorized employees or representatives if the Service permits.

Dealer is responsible for the acts and omissions of its employees, agents, contractors, representatives, and other persons who access the Service through Dealer’s account.

Dealer may not:

  • share credentials with unauthorized persons;
  • use another Dealer’s account without authorization;
  • create accounts using false or misleading information;
  • impersonate another Dealer or business; or
  • permit unauthorized third parties to access Dealer-only functionality.

OneAuctionView may suspend or terminate an account where it reasonably believes that the account presents security, legal, fraud, operational, or other material risks.

4. PUBLIC DEALER PROFILES AND DEALER PROFILE MANAGEMENT BY DEALER ACCOUNT

Dealer Profiles. OneAuctionView may create, maintain, display, and distribute dealer profile pages and vehicle listings based on information obtained from Dealers, public sources, third-party data providers, and other authorized sources. OneAuctionView may standardize, normalize, categorize, organize, summarize, supplement, or otherwise modify dealer and vehicle information for purposes of operating and improving the Service. Dealer profiles may contain: dealership name, business address, telephone number, website, hours of operation, brands sold or serviced. vehicle inventory, pricing, and specifications, photographs and other images, customer reviews and ratings, market statistics, OAV scores and analytics, dealer-provided descriptions, contact information, and other business or vehicle information.

Dealer profiles may contain:

  • dealership name;
  • business address;
  • telephone number;
  • website;
  • hours of operation;
  • brands sold or serviced;
  • vehicle inventory;
  • pricing and specifications;
  • photographs and other images;
  • customer reviews and ratings;
  • market statistics;
  • OAV scores and analytics;
  • dealer-provided descriptions;
  • contact information; and
  • other business or vehicle information.

Dealer agrees and acknowledges that OneAuctionView may display publicly available dealer and inventory information even if Dealer has not claimed or subscribed to a Dealer Account.

Dealer Account and Management of Dealer Profile. A Dealer may be permitted to claim, verify, manage, or enhance its dealer profile through the Service by opting in and registering for a Dealer Account.

Claiming a dealer listing by opting in and registering for a Dealer Account does not necessarily give the Dealer exclusive control over all information associated with that listing.

5. DEALER INVENTORY AND VEHICLE INFORMATION

If Dealer provides information through a Dealer Account, feed, integration, API, file, website, or other mechanism, Dealer is responsible for the accuracy, completeness, legality, authorization, and timeliness of all inventory and vehicle information it provides.

Such information may include: VIN; stock number; year, make, model, trim, and configuration; mileage; condition; vehicle history information; photographs; equipment and options; vehicle description; advertised price; discounts; incentives; fees; availability; financing information; lease information; warranties; vehicle location; dealer-installed accessories; manufacturer information; and other vehicle-related information.

Dealer represents and warrants that it has all rights necessary to provide such information to OneAuctionView and to authorize OneAuctionView to use it as contemplated by these Terms.

Dealers with a Dealer Account must also promptly correct or remove information that becomes inaccurate or misleading. Dealer remains solely responsible for its advertised representations and for honoring, correcting, or withdrawing its own offers, subject to applicable law.

Dealer acknowledges that inventory, pricing, availability, condition, mileage, incentives, fees, and other information may change rapidly. OneAuctionView does not guarantee that information displayed through the Service will always reflect Dealer’s most current information.

6. INVENTORY FEEDS, INTEGRATIONS, AND THIRD-PARTY DATA

OneAuctionView may receive Dealer inventory through direct submissions, inventory feeds, APIs, data files, dealership management systems, CRM systems, websites, third-party inventory providers, other integrations, and other authorized sources.

Dealer authorizes OneAuctionView to receive, process, standardize, store, analyze, display, distribute, and otherwise use inventory information received through such sources for purposes of providing and improving the Service.

As to Dealers with a Dealer Account, the Dealer is responsible for ensuring that its inventory feeds and integrations are properly configured and that information supplied through them is accurate and authorized for use. Dealer also represents that it has obtained all necessary rights, permissions, and authorizations required for OneAuctionView to receive and use such information.

OneAuctionView is not responsible for errors originating from third-party systems, data providers, integrations, feeds, or systems outside OneAuctionView’s reasonable control.

OneAuctionView may suspend, reject, modify, restrict, or discontinue an integration or data feed where reasonably necessary for security, technical, legal, operational, or business reasons.

7. DEALER DATA, OAV DATA, AND DERIVED DATA

7.1 Dealer Data. As between Dealer and OneAuctionView, Dealer retains ownership of Dealer-provided content and information, subject to the licenses and rights granted to OneAuctionView under these Terms or other agreements, and subject to applicable law.

“Dealer Data” means information and content supplied by or on behalf of Dealer, including Dealer’s inventory data, dealer descriptions, photographs, logos, pricing information, business information, and other materials supplied by Dealer, which is owned by Dealer, and excludes such information and content if publicly available.

7.2 OAV Technology and OAV Data. “OAV Data” means information, analytics, scores, rankings, classifications, methodologies, market intelligence, reports, outputs, databases, models, algorithms, normalized datasets, proprietary attributes, and other information created, generated, compiled, standardized, or developed by or for OneAuctionView, excluding Dealer Data in its original form.

OAV retains all right, title, and interest in OAV Data and OneAuctionView Technology.

7.3 Derived and Aggregated Information. OneAuctionView may create aggregated, statistical, analytical, normalized, derivative, de-identified, or otherwise transformed information using Dealer Data and other information.

To the extent permitted by law, OneAuctionView owns such aggregated, de-identified, statistical, analytical, and derivative information, provided that OneAuctionView will not represent such information as confidential Dealer Data or identify Dealer as the source of confidential information except as permitted by these Terms or another agreement.

Dealer will not have a right to extract, reverse engineer, reconstruct, or obtain underlying Dealer or third-party data from aggregated or derived OAV outputs.

8. LICENSE TO DEALER DATA AND CONTENT

For Dealers who have registered for a Dealer Account, Dealer grants OneAuctionView a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, transmit, distribute, display, perform, format, modify, adapt, standardize, analyze, combine, derive, and otherwise use Dealer Data and Dealer Content for purposes of:

  • operating and providing the Service;
  • displaying Dealer listings and inventory;
  • providing search and discovery services;
  • providing information to consumers;
  • providing dealer analytics and market intelligence;
  • calculating or displaying market metrics;
  • generating AI-powered results and recommendations;
  • developing and improving algorithms, models, methodologies, and analytics;
  • preventing fraud;
  • maintaining security;
  • measuring Service performance;
  • marketing and promoting OneAuctionView;
  • creating aggregated or de-identified information; and
  • performing OneAuctionView’s business and contractual obligations.

The license continues for so long as reasonably necessary to provide the Service and to maintain, analyze, secure, improve, document, or comply with legal obligations concerning information associated with the Service.

OneAuctionView may retain and use aggregated, statistical, analytical, and de-identified information after termination, subject to applicable law.

9. AI, AUTOMATED SYSTEMS, ANALYTICS, AND MARKET INTELLIGENCE

The Service may use artificial intelligence, machine learning, statistical models, automated systems, natural-language processing, predictive technologies, and other computational methods.

AI-generated and algorithmically generated outputs may contain errors, omissions, outdated information, inaccurate assumptions, or unexpected results.

Dealer acknowledges that the Service may generate: pricing analysis; vehicle comparisons; demand indicators; rankings; scores; recommendations; estimates; forecasts; market intelligence; summaries; classifications; and other analytical information.

These outputs are informational tools and are not guarantees of: vehicle value; market value; retail price; sales performance; consumer demand; profitability; inventory turn; future pricing; transaction completion; or business results.

Dealer remains responsible for independently evaluating all information and making its own pricing, inventory, advertising, sales, financing, and compliance decisions.

Pricing and Market Analytics

To the extent the Service provides pricing or market analytics based on information concerning multiple dealers or vehicles, such analytics are intended as informational tools only.

OneAuctionView does not require or coerce Dealer to adopt, maintain, or follow any price or commercial term suggested by the Service. Dealer independently determines its prices, inventory strategy, offers, and commercial terms.

Dealer acknowledges that any recommendation, estimate, score, or pricing analysis is not a directive, agreement, coordination mechanism, or requirement to match or align its pricing with another Dealer.

AI Training and Improvement

Subject to applicable law and any separate written agreement, OneAuctionView may use Dealer Data and information derived from Dealer Data to develop, test, validate, improve, and maintain OneAuctionView’s algorithms, models, analytics, methodologies, and Service.

OneAuctionView will not use Dealer’s confidential information to identify Dealer publicly as the source of confidential information except as otherwise permitted by these Terms.

10. DEALER LEADS AND CONSUMER INQUIRIES

The Service may allow consumers to submit inquiries concerning Dealer inventory, pricing, availability, financing, trade-ins, appointments, or other automotive matters (“Consumer Inquiries”).

OneAuctionView may route Consumer Inquiries based on factors including:

  • vehicle interest;
  • geographic location;
  • inventory availability;
  • pricing;
  • consumer preferences;
  • Dealer participation;
  • Dealer settings;
  • subscription status;
  • advertising arrangements; and
  • other Service functionality.

OneAuctionView does not guarantee the number, quality, accuracy, exclusivity, conversion rate, or value of Consumer Inquiries.

OneAuctionView may send the same or substantially similar Consumer Inquiry to multiple Dealers or service providers where permitted by the consumer request and Service functionality.

Dealers who have registered for a Dealer Account will receive and respond to Consumer Inquiries through its Dealer account on the OAV.IO platform.

Dealer is solely responsible for responding to Consumer Inquiries and for all communications, negotiations, offers, sales, leases, financing arrangements, and transactions with consumers.

If Dealer wishes to opt out of receiving Consumer Inquiries, Dealer may do so according to Privacy Policy or opt-out mechanism in such inquiries. Opting out will opt out Dealer from receiving Consumer Inquiries generally, not specific Consumer Inquiries from specific consumers.

Dealers who have a Dealer Account agree to receive such inquiries and respond as set forth in this provision.

11. LEAD BILLING, ATTRIBUTION, AND DISPUTES

If OneAuctionView charges Dealer for Consumer Inquiries, leads, appointments, clicks, calls, messages, or other customer interactions, the applicable commercial terms or order form will define the applicable pricing and billing model.

Unless otherwise specified:

A “Billable Lead” means a Consumer Inquiry delivered to Dealer through the Service that satisfies the applicable product’s published or contractual lead criteria.

A lead is not automatically non-billable merely because:

  • the consumer does not respond;
  • the consumer does not purchase a vehicle;
  • the vehicle is subsequently sold;
  • the consumer contacts another Dealer;
  • the consumer changes preferences; or
  • Dealer determines that the consumer is unlikely to purchase.

Any lead-credit, refund, or dispute policy applicable to a particular product will be stated in the applicable order form or commercial terms.

Dealer must submit billing disputes within the period specified in the applicable commercial terms and provide sufficient information for OneAuctionView to investigate.

OneAuctionView may reject fraudulent, clearly duplicated, technically invalid, or otherwise non-conforming leads in accordance with the applicable lead program.

12. DEALER USE OF CONSUMER INFORMATION

Dealer may receive personal information concerning consumers through the Service, including names, email addresses, telephone numbers, ZIP codes, vehicle interests, inquiry details, and other information submitted by consumers.

Dealer will use such information only for lawful business purposes reasonably related to the consumer’s inquiry or requested services, unless the consumer separately authorizes another use or applicable law permits it.

Dealer agrees not to:

  • sell consumer information received through OAV.IO except as legally permitted and properly disclosed;
  • use consumer information for unrelated purposes;
  • create unauthorized consumer profiles;
  • disclose consumer information to unauthorized third parties;
  • use consumer information in violation of applicable privacy laws;
  • circumvent OAV.IO to obtain information that consumers did not authorize;
  • use consumer information for unlawful telemarketing or solicitation;
  • combine consumer information with other information for prohibited purposes; or
  • retain consumer information longer than reasonably necessary or legally permitted.

Dealer is responsible for complying with applicable privacy, data protection, telemarketing, advertising, consumer-protection, and information-security laws.

Where applicable law requires a written data-processing, service-provider, contractor, or similar agreement, the parties will cooperate in good faith to establish appropriate contractual terms.

13. DEALER COMMUNICATIONS AND CONSUMER CONSENT

Dealer is solely responsible for communications with consumers, including telephone calls, emails, text messages, direct messages, advertisements, offers, appointment reminders, financing communications, and other communications.

Dealer represents and warrants that it will obtain and maintain all consents required by applicable law before sending marketing or other regulated communications. Dealer will honor applicable requests to stop, limit, or modify communications.

OneAuctionView does not provide legal advice concerning Dealer’s communication practices and does not guarantee that a Consumer Inquiry constitutes consent for any particular communication method or marketing purpose.

Dealer must independently determine whether additional consent is required before contacting a consumer.

14. DEALER REPRESENTATIONS AND COMPLIANCE OBLIGATIONS

Dealer represents, warrants, and covenants that:

  • it is legally authorized to sell or lease the vehicles it advertises;
  • its inventory information is accurate to the best of its knowledge;

  • its advertising is not deceptive or misleading;
  • its vehicle descriptions accurately disclose material information required by law;
  • it will comply with applicable vehicle advertising requirements;
  • it will comply with applicable federal, state, and local dealership laws;
  • it will comply with applicable privacy and data-protection requirements;
  • it will comply with applicable financing and credit-advertising requirements;
  • it will comply with applicable consumer-protection laws;
  • it will comply with applicable intellectual-property laws;
  • it will maintain required licenses and registrations;
  • it will not use the Service for unlawful, fraudulent, deceptive, or abusive purposes; and
  • it will not knowingly provide OneAuctionView with inaccurate or misleading information.

Dealer is solely responsible for legal and regulatory compliance relating to Dealer’s business.

OneAuctionView does not assume responsibility for determining whether Dealer’s inventory, advertising, pricing, financing, disclosures, contracts, communications, or business practices comply with applicable law

15. DEALER CONTENT, IMAGES, TRADEMARKS, AND SUBMITTED MATERIALS

Dealer may provide dealership names, logos, trademarks, photographs, vehicle images, videos, descriptions, advertisements, promotional materials, pricing information, business information, inventory data, reviews or responses, and other materials (“Dealer Content”).

As between Dealer and OneAuctionView, Dealer retains ownership of Dealer Content, subject to the license granted under these Terms.

Dealer grants OneAuctionView a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, format, modify, adapt, publish, transmit, and otherwise use Dealer Content in connection with the Service and the marketing, promotion, operation, improvement, and development of OneAuctionView’s products and services.

Dealer represents and warrants that:

  • it owns or has sufficient rights to provide the Dealer Content;
  • it has authority to grant the foregoing license;
  • the Dealer Content does not infringe third-party intellectual-property rights;
  • the Dealer Content does not violate privacy or publicity rights;
  • the Dealer Content is not unlawful or materially misleading; and
  • the Dealer Content complies with applicable law.

OneAuctionView may refuse, modify, remove, disable, or decline to display Dealer Content that it believes violates these Terms, applicable law, third-party rights, or OneAuctionView policies including but not limited to in response to a DMCA takedown requests.

16. REVIEWS, RATINGS, AND DEALER RESPONSES

The Service may display reviews, ratings, consumer feedback, third-party ratings, or other reputation-related information relating to Dealers.

OneAuctionView may obtain information from third-party sources and may display, summarize, normalize, analyze, or incorporate such information into dealer profiles or analytics.

Dealer responses must be truthful, professional, and lawful.

Dealer may not:

  • create or purchase fake reviews;
  • offer undisclosed compensation for reviews;
  • manipulate ratings;
  • impersonate consumers;
  • submit reviews about its own business under false identities;
  • threaten consumers in connection with reviews; or
  • otherwise manipulate reputation-related features.

OneAuctionView may remove, decline to display, moderate, or modify content in accordance with applicable policies and law.

17. SUBSCRIPTIONS, FEES, AND PAYMENTS for Dealer Accounts or Other Paid Features

Certain products and features require payment of subscription fees, advertising fees, lead fees, usage fees, implementation fees, or other charges (“Fees”) including opting in and registering for a Dealer Account. If you register for a Dealer Account, you represent and warrant that the Dealer is a dealership, dealership group, automotive business, or other commercial vehicle seller, and the Dealer Account is being obtained solely for commercial/business purposes. The individual accepting these Terms or subscribing to a Dealer Account represents that they are authorized to act on behalf of the Dealer and are not purchasing the Service for personal, family, or household purposes.

Where applicable, the amount, billing frequency, subscription term, renewal term, minimum commitment, cancellation requirements, and other commercial terms will be stated during enrollment, within the Dealer Account, on an order form, or in a separate written agreement.

Unless otherwise stated:

  • Fees are due according to applicable billing terms;
  • Dealer is responsible for accurate billing information;
  • Dealer authorizes OneAuctionView or its payment processor to charge applicable Fees;
  • Fees are non-refundable except as expressly provided in applicable commercial terms or required by law;
  • taxes and governmental charges are Dealer’s responsibility, except taxes imposed on OneAuctionView’s net income; and
  • failure to pay applicable Fees may result in suspension or termination of paid features.

Automatic Renewal

Dealer may cancel an automatically renewing subscription by using the cancellation method specified in the applicable subscription terms.

To the extent any applicable automatic-renewal or similar law applies, OneAuctionView will comply with such law.

OneAuctionView may change pricing for a future subscription period by providing notice required by the applicable agreement or law.

Upon cancellation or termination of a Dealer Account, Dealer information including inventory information obtained by OAV.IO from other licensors/sources may still appear on OAV.IO.

18. BILLING DISPUTES AND CHARGEBACKS

Dealer must notify OneAuctionView of any bona fide billing dispute within thirty (30) days after the applicable charge or invoice, unless a different period is stated in the applicable commercial terms. Dealer must pay all undisputed amounts when due. Dealer should contact OneAuctionView before initiating a chargeback concerning a disputed charge. A chargeback does not eliminate Dealer’s obligation to pay amounts otherwise properly due. OneAuctionView may suspend affected services for unpaid amounts, subject to applicable law and the applicable commercial agreement.

19. DEALER PLACEMENT, ADVERTISING, AND COMMERCIAL RELATIONSHIPS

In addition to Dealer Accounts, OneAuctionView may offer paid subscription, advertising, sponsorship, featured-placement, enhanced-profile, analytics, lead-generation, or other commercial programs.

Paid participation may affect:

  • profile visibility;
  • placement of Dealer profiles, promotional units, and other Dealer-level presentations;
  • access to features;
  • analytics;
  • promotional opportunities;
  • lead-routing functionality; or
  • other aspects of the Service, in each case subject to Section 20.

OneAuctionView may also rank Dealers based on non-commercial factors, including relevance, inventory, location, pricing, data quality, consumer preferences, availability, and other criteria. Paid participation does not constitute an endorsement, certification, guarantee, or recommendation by OneAuctionView.

OneAuctionView does not guarantee any particular number of impressions, clicks, leads, inquiries, appointments, or transactions. OneAuctionView may provide similar services to competing Dealers and does not grant Dealer exclusivity unless expressly stated in a separate written agreement.

20. SEARCH RESULTS, RANKINGS, AND DEALER VISIBILITY

OneAuctionView may use automated systems, artificial intelligence, machine learning, human review, proprietary algorithms, and other methodologies to determine how vehicles, content, and Dealers are displayed.

  • data quality;
  • Dealer participation;
  • subscription status;
  • advertising arrangements;
  • consumer engagement;
  • relevance;
  • historical information;
  • third-party data; and
  • other factors.

Notwithstanding the foregoing, Price-to-Market verdicts, comparable ranges and their associated confidence indicators, a vehicle’s eligibility to appear in consumer vehicle results, and the ordering of vehicles within those results are determined solely from measured market data and vehicle characteristics. They are not affected by Dealer participation, subscription status, advertising arrangements, or any other commercial relationship between OneAuctionView and a Dealer.

Search results and rankings may vary among users and over time.

OneAuctionView does not guarantee that Dealer will appear in any particular position, search result, recommendation, category, or placement.

21. VEHICLE TRANSACTIONS AND DEALER RESPONSIBILITY

OneAuctionView is not a party to any transaction between Dealer and a consumer.

24. CONFIDENTIAL INFORMATION

To the extent Dealer receives non-public information from OneAuctionView that is identified as confidential or reasonably should be understood to be confidential (“Confidential Information”), Dealer will:

  • use Confidential Information only for purposes of using the Service;
  • protect it using reasonable safeguards;
  • not disclose it to unauthorized third parties; and

Confidential Information does not include information that:

  • is or becomes publicly available without breach;
  • was lawfully known before disclosure;
  • is independently developed without use of Confidential Information; or
  • is lawfully received from a third party without confidentiality obligations.

Nothing prevents disclosure required by law, provided that Dealer gives legally permitted notice to OneAuctionView when reasonably practicable.

25. SECURITY

Dealer is responsible for maintaining appropriate security for its accounts, systems, credentials, integrations, and authorized users.

Dealer must promptly notify OneAuctionView if it becomes aware of:

  • unauthorized access;
  • compromised credentials;
  • unauthorized use of the Service;
  • a security incident involving information received through OAV.IO; or
  • other circumstances that may materially affect Service or user security.

Dealer will cooperate reasonably with OneAuctionView in investigating and responding to security incidents.

OneAuctionView may implement security controls, rate limits, access restrictions, authentication requirements, monitoring, or other safeguards at any time.

26. PRIVACY AND DATA PROCESSING

Dealer’s use of the Service is also governed by OneAuctionView’s Privacy Policy.

OneAuctionView may collect, use, disclose, and process information relating to Dealer, Dealer employees and authorized users, Dealer operations, vehicle inventory, Service usage, and consumer interactions in accordance with applicable law and the Privacy Policy.

The DPA is incorporated into these Terms by reference where applicable.

Dealer is responsible for determining its own legal obligations concerning personal information it collects, receives, or processes through the Service.

Dealer will cooperate reasonably with OneAuctionView as necessary to comply with applicable privacy and data-protection obligations.

Nothing in these Terms requires either party to process personal information in a manner prohibited by applicable law.

27. THIRD-PARTY SERVICES AND INTEGRATIONS

The Service may integrate with or link to third-party products, websites, systems, data providers, payment processors, CRM systems, inventory systems, analytics services, or other services.

OneAuctionView will use reasonable efforts to provide notice of material changes where appropriate.

Dealer acknowledges that Service availability may be affected by maintenance, technical problems, internet failures, cybersecurity incidents, third-party services, governmental actions, or circumstances outside OneAuctionView’s reasonable control.

29. DATA EXPORT, RETENTION, AND DELETION

Following termination of a Dealer Account, Dealer may request export of Dealer Data that OneAuctionView makes available for export through the Service.

Unless otherwise stated in an applicable commercial agreement:

  • export requests must be made within thirty (30) days after termination;
  • export will be provided in a reasonably available format;
  • OneAuctionView is not required to export OAV Data, aggregated data, derived data, proprietary analytics, third-party data, or information that OneAuctionView is legally prohibited from disclosing;
  • OneAuctionView may retain information in backups and archival systems for reasonable periods;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEAUCTIONVIEW AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS (COLLECTIVELY, THE “ONEAUCTIONVIEW PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF SALES, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO:

  • ACCESS TO OR USE OF THE SERVICE;

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE ONEAUCTIONVIEW PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY DEALER TO ONEAUCTIONVIEW FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND DOLLARS ($1,000).

These limitations apply regardless of legal theory, including contract, warranty, tort, statute, negligence, or otherwise, even if OneAuctionView has been advised of the possibility of such damages.

The foregoing limitations do not apply to liability that cannot legally be limited or excluded.

32. INDEMNIFICATION

Dealer agrees to defend, indemnify, and hold harmless OneAuctionView and the OneAuctionView Parties from and against claims, demands, actions, proceedings, damages, liabilities, losses, judgments, settlements, expenses, and costs, including reasonable attorneys’ fees, arising out of or relating to:

OneAuctionView will provide Dealer reasonably prompt notice of an indemnified claim when practicable.

OneAuctionView may assume exclusive control of the defense of an indemnified claim. Dealer will reasonably cooperate in the defense.

Dealer may not settle an indemnified claim in a manner that admits liability by, imposes obligations on, or adversely affects OneAuctionView without OneAuctionView’s prior written consent.

OneAuctionView may participate in the defense with counsel of its choice at its own expense where appropriate.

33. SUSPENSION AND TERMINATION

Dealer may stop using the Service at any time, subject to applicable subscription or commercial agreements.

OneAuctionView may suspend, restrict, or terminate Dealer’s access if:

  • Dealer provides materially false or misleading information;
  • Dealer engages in unlawful or deceptive conduct;
  • Dealer creates security or operational risks;

  • the Service or applicable product is discontinued.

Where commercially reasonable, OneAuctionView may provide notice and an opportunity to cure a curable violation before terminating access.

Upon termination:

  • Dealer’s right to access the applicable Service ends;
  • OneAuctionView may remove or disable Dealer Account functionality;
  • unpaid Fees remain due;
  • provisions that by their nature should survive termination survive; and
  • OneAuctionView may retain information as reasonably necessary for legal, security, accounting, fraud-prevention, dispute-resolution, backup, regulatory, and legitimate business purposes.

Termination does not eliminate obligations accrued before termination.

  • business ownership;
  • dealership authorization;
  • licensing;
  • inventory;

  • the location of the material;
  • the complaining party’s contact information;
  • a statement of good-faith belief;
  • a statement concerning authorization; and
  • the required signature or equivalent authentication.

OneAuctionView may remove or disable access to allegedly infringing material where appropriate.

Where legally required or appropriate, OneAuctionView may provide a counter-notification process.

OneAuctionView may suspend or terminate accounts of repeat infringers or users who repeatedly submit materially false or abusive intellectual-property claims.

38. DISPUTE RESOLUTION; MANDATORY ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the maximum extent permitted by applicable law, Dealer and OneAuctionView agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Service, a Dealer Account, the parties’ relationship, or a transaction between Dealer and OneAuctionView will be resolved through binding arbitration on an individual basis, except as expressly stated below.

Before initiating arbitration, the party asserting a dispute must provide written notice to the other party and provide a reasonable opportunity to resolve the dispute informally.

Written notices to OneAuctionView should be sent to:

OneAuctionView LLC
31631 Outer Highway 10
Redlands, California 92373
Attention: Legal Department
Email: oavsupport@oav.io

If the dispute cannot be resolved within sixty (60) days after receipt of written notice, either party may initiate arbitration.

The arbitration will be conducted by the American Arbitration Association (AAA) under its applicable commercial or business-to-business arbitration rules, unless applicable law requires otherwise.

The arbitration will take place in California at a location reasonably convenient to the parties, unless the parties agree otherwise or the applicable arbitration rules provide otherwise.

The arbitrator, rather than a court, will have authority to determine disputes concerning interpretation, applicability, enforceability, or formation of this arbitration agreement, except where applicable law reserves such issues for a court.

The arbitration requirement does not apply to:

  • claims eligible for small claims court;
  • actions seeking temporary or preliminary injunctive relief;
  • claims concerning infringement or misuse of OneAuctionView’s intellectual property;
  • claims concerning unauthorized access to or misuse of the Service;
  • claims that cannot legally be subject to arbitration; or
  • other claims expressly excluded by applicable law.

39. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALER AND ONEAUCTIONVIEW AGREE THAT ANY CLAIM OR DISPUTE SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.

NEITHER PARTY MAY PARTICIPATE IN OR BRING A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, MASS ARBITRATION, OR PRIVATE ATTORNEY GENERAL ACTION ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EXCEPT TO THE EXTENT SUCH A WAIVER IS PROHIBITED BY APPLICABLE LAW.

40. JURY TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALER AND ONEAUCTIONVIEW KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION.

41. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to the Service shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

For any dispute that is not subject to arbitration, Dealer and OneAuctionView agree that the state and federal courts located in San Bernardino County, California shall have exclusive jurisdiction and venue, except where applicable law requires otherwise.

43. GENERAL PROVISIONS

Entire Agreement. These Terms, the Privacy Policy, any applicable order forms, subscription terms, commercial agreements, and other terms expressly incorporated by reference constitute the entire agreement between Dealer and OneAuctionView concerning the Service and supersede prior or contemporaneous agreements concerning the same subject matter, except for separate written agreements expressly intended to govern specific products or services.

Order of Precedence. If Dealer has entered into a separate written agreement with OneAuctionView concerning a specific product or service, that agreement will control over these Terms to the extent of a direct conflict concerning that product or service.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. OneAuctionView’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

Assignment, Dealer may not assign or transfer its rights or obligations under these Terms without OneAuctionView’s prior written consent. OneAuctionView may assign these Terms and its rights or obligations in connection with a merger, acquisition, financing transaction, sale of assets, corporate reorganization, or other business transaction.

Independent Contractors; Relationship. Dealer and OneAuctionView are independent parties. Nothing in these Terms creates a partnership, joint venture, franchise, employment relationship, fiduciary relationship, agency relationship, or other relationship of legal representation between the parties. Neither party has authority to bind the other except as expressly agreed in writing.

Force Majeure. OneAuctionView will not be responsible for delays, failures, or interruptions caused by circumstances beyond its reasonable control, including natural disasters, internet failures, telecommunications failures, cybersecurity incidents, governmental actions, labor disputes, acts of war, civil unrest, failures of third-party providers, or other events outside OneAuctionView’s reasonable control.

No Third-Party Beneficiaries. Except for the OneAuctionView Parties as expressly provided in these Terms, these Terms do not create rights in any third party.

Electronic Communications and Signatures. Dealer agrees that electronic acceptance of these Terms, electronic signatures, electronic orders, and electronic records may be used to establish Dealer’s agreement to these Terms and applicable commercial arrangements.

Survival. Provisions that by their nature should survive termination will survive, including provisions concerning: payment obligations, intellectual property, Dealer Data and OAV Data, confidentiality, privacy, indemnification, limitation of liability, dispute resolution, governing law, restrictions on use, and other provisions that expressly or inherently survive termination.
